ANTI PIRACY & UNAUTHORISED DISTRIBUTION POLICY

• PURPOSE OF THIS POLICY

The purpose of this Policy is to protect Wiselayne's proprietary content against unauthorised use and distribution and to ensure that Digital Products purchased by customers are used only in accordance with the rights granted to the purchasing customer.

Wiselayne invests resources in the creation, development, editing, design, publication, technology, maintenance and distribution of its Digital Products and other content.

Unauthorised copying or distribution can cause substantial harm to the Company and may also infringe applicable intellectual property rights.

• PROTECTED WISELAYNE CONTENT

For the purposes of this Policy, "Protected Content" includes, without limitation:

• e books;
• PDFs;
• digital guides;
• workbooks;
• courses;
• educational materials;
• downloadable files;
• written materials;
• articles;
• templates;
• worksheets;
• graphics;
• illustrations;
• photographs;
• videos;
• audio content;
• presentations;
• designs;
• website content;
• proprietary frameworks;
• exercises;
• compilations;
• databases;
• logos;
• trademarks;
• branding;
• product descriptions;
• original concepts and materials; and
• any other proprietary material made available by or on behalf of Wiselayne.

Protected Content may be supplied free of charge or against payment. The protections contained in this Policy apply to both, subject to the nature of the relevant content.

• OWNERSHIP OF PROTECTED CONTENT

Unless expressly stated otherwise, all intellectual property rights in and to Wiselayne's Protected Content belong to Wiselayne, Silvasiyaa Private Limited, its licensors or the applicable rights holder.

Purchase of, access to or downloading of a Digital Product does not transfer ownership of the underlying intellectual property to the customer.

The customer receives only such limited rights of access and use as are expressly permitted under the applicable Terms & Conditions and Intellectual Property & Content Usage Policy.

• LIMITED PERSONAL USE

Unless expressly authorised otherwise in writing, a customer who purchases a Wiselayne Digital Product receives a limited, non exclusive, non transferable and revocable right to access and use that Product for their own personal and lawful purposes.

Such access does not permit the customer to commercially exploit, reproduce or distribute the Product.

• PROHIBITION ON COPYING

Customers shall not, without prior written authorisation from Wiselayne:

• copy an entire Digital Product;
• reproduce substantial portions of a Digital Product;
• duplicate files;
• reproduce the Product in another format;
• scan or reproduce printed copies;
• create unauthorised copies for other persons; or
• otherwise reproduce Protected Content beyond permitted personal use.

This restriction applies irrespective of whether the copying is undertaken for monetary consideration.

• PROHIBITION ON UNAUTHORISED SHARING

Customers shall not share purchased or otherwise restricted Wiselayne Digital Products with persons who have not independently obtained lawful access to them.

Unauthorised sharing includes, without limitation:

• sending a PDF to another person;
• forwarding downloadable files;
• sharing access credentials;
• sharing download links;
• sharing private access links;
• making a Product available to a group;
• uploading a Product to cloud storage for access by others; or
• otherwise enabling another person to access a restricted Product without authorisation.

• PROHIBITION ON RESALE

Wiselayne Digital Products may not be resold, sublicensed, transferred, assigned, rented, leased or otherwise commercially distributed without prior written permission.

A customer may not purchase a Product from Wiselayne and subsequently sell or offer the same Product, whether in its original form or in a modified form, to another person.

• PROHIBITION ON ONLINE UPLOADING

Customers shall not upload Wiselayne's Protected Content to:

• websites;
• blogs;
• social media platforms;
• cloud storage platforms;
• file sharing platforms;
• discussion forums;
• online marketplaces;
• public repositories;
• messaging groups;
• community platforms; or
• any other online location

where the content may be accessed, downloaded, copied or redistributed by unauthorised persons.

• PROHIBITION ON MESSAGING AND PRIVATE GROUP DISTRIBUTION

Unauthorised distribution through private or closed groups is also prohibited.

Accordingly, customers shall not distribute Wiselayne Products through platforms or services such as:

• WhatsApp groups;
• Telegram groups or channels;
• private messaging groups;
• email distribution lists;
• community groups; or
• similar communication channels,

where such distribution permits persons without lawful access to obtain the Protected Content.

The fact that a group, channel or communication is private does not make unauthorised distribution permissible.

• PROHIBITION ON FILE SHARING AND PIRACY PLATFORMS

Customers shall not upload, seed, host, distribute or otherwise make Wiselayne Digital Products available through:

• torrent networks;
• file sharing websites;
• unauthorised download websites;
• digital libraries;
• piracy platforms;
• link sharing services;
• public cloud folders; or
• similar distribution mechanisms.

Any such conduct may constitute infringement of applicable intellectual property rights and may result in appropriate action.

• ACCOUNT AND ACCESS CREDENTIAL SHARING

Where access to a Product or Platform is provided through an account, login credentials or another authentication mechanism, the customer shall keep such credentials confidential.

Customers shall not:

• sell their account;
• transfer their account;
• provide credentials to another person;
• permit unauthorised persons to access purchased Products; or
• otherwise circumvent individual access restrictions.

The customer remains responsible for maintaining the confidentiality of their account credentials, subject to applicable law.

• UNAUTHORISED RECORDING AND CAPTURE

Where Products or Platform features are delivered through audio, video, streaming or other protected formats, customers shall not, without authorisation:

• record the content;
• screen record the content;
• capture substantial portions of the content;
• reproduce streamed material;
• extract downloadable files through unauthorised methods; or
• create substitute copies for distribution.

Nothing in this clause prevents lawful use expressly permitted by applicable law.

• REMOVAL OF COPYRIGHT OR OWNERSHIP NOTICES

Customers shall not knowingly remove, conceal, alter or obscure:

• copyright notices;
• trademarks;
• ownership statements;
• watermarks;
• Digital Rights Management information;
• attribution information; or
• other proprietary notices

contained in or associated with Wiselayne Protected Content, except where such conduct is expressly permitted by law.

• MODIFICATION AND CREATION OF DERIVATIVE CONTENT

Customers shall not reproduce or modify Protected Content for the purpose of creating an unauthorised competing or commercially exploitable product.

This includes converting, adapting, translating, restructuring or combining substantial portions of Wiselayne content with other materials for unauthorised commercial distribution.

Personal notes, annotations and other private uses that are otherwise lawful and do not reproduce or distribute Protected Content remain subject to applicable law.

• COMMERCIAL EXPLOITATION

Protected Content shall not be commercially exploited without prior written permission.

Commercial exploitation includes, without limitation:

• resale;
• licensing;
• subscription distribution;
• paid sharing;
• incorporation into another paid product;
• use in a competing commercial service;
• use in paid workshops or courses where substantial Protected Content is reproduced;
• publication for commercial gain; and
• any other commercial use beyond the rights expressly granted.

• USE IN SOCIAL MEDIA AND PUBLIC CONTENT

Customers may not reproduce substantial portions of Wiselayne's Protected Content on social media platforms or other public channels.

Where a customer wishes to refer to Wiselayne content publicly, the customer must ensure that such reference does not amount to unauthorised reproduction, distribution or commercial exploitation.

Any permitted reference should, where appropriate, clearly identify Wiselayne as the source.

• REVIEWS, EXCERPTS AND FAIR USE

Wiselayne does not intend this Policy to prohibit uses of Protected Content that are expressly permitted under applicable law.

Accordingly, nothing in this Policy is intended to prevent lawful activities such as legally permissible quotation, criticism, review, reporting or other uses protected by applicable law, provided that such use does not exceed the scope permitted by law.

Where a customer is uncertain whether a proposed use is permitted, the customer should seek written permission from Wiselayne before using the relevant material.

• DETECTION AND MONITORING

Wiselayne may use reasonable technological, administrative or other measures to identify suspected unauthorised distribution of its Protected Content.

Such measures may include, where appropriate:

• digital identifiers;
• access records;
• watermarking;
• transaction records;
• download records;
• account information;
• publicly available information; and
• other reasonable anti piracy measures.

Any collection or processing of personal information in connection with such measures shall be subject to Wiselayne's applicable Privacy Policy and applicable law.

• REPORTING PIRACY OR UNAUTHORISED DISTRIBUTION

Wiselayne encourages customers and other persons to report suspected unauthorised distribution of its Protected Content.

A report should, where reasonably possible, include:

• the location or link where the material is available;
• identification of the relevant Wiselayne Product;
• a description of the suspected infringement;
• screenshots or other relevant evidence, where available; and
• contact details of the reporting person, where appropriate.

Reports may be submitted to:

Wiselayne may review the information and take such action as it considers appropriate and legally available.

• TAKEDOWN AND ENFORCEMENT ACTION

Where Wiselayne identifies or receives a credible report of unauthorised distribution, it may take appropriate action, including, where applicable:

• requesting removal of the unauthorised content;
• issuing notices to the relevant platform or service provider;
• suspending or terminating relevant account access;
• blocking access to Products;
• investigating the source of the unauthorised distribution;
• requesting cessation of the infringing activity;
• seeking appropriate legal remedies; and
• taking any other action available under applicable law.

Wiselayne does not undertake that every instance of infringement will be detected or successfully removed.

• SUSPENSION OR TERMINATION OF ACCESS

Where a customer is reasonably suspected of engaging in piracy, unauthorised distribution or other serious misuse of Protected Content, Wiselayne may, subject to applicable law:

• suspend the customer's account;
• restrict access to Products;
• disable access links;
• terminate the customer's account; or
• take other reasonable protective measures.

Such action shall not ordinarily create an entitlement to a refund where the action results from the customer's breach of applicable Terms or Policies, subject to applicable law.

• REFUNDS DO NOT CREATE OWNERSHIP RIGHTS

Payment for a Wiselayne Digital Product does not transfer ownership of the Product's intellectual property.

Similarly, the receipt of a refund, where applicable, does not confer any right upon the customer to retain, reproduce, distribute, publish or commercially exploit the Product.

Where a refund is issued, Wiselayne may require the customer to cease using or accessing the relevant Product, subject to applicable law and the applicable Refund Policy.

• CUSTOMER LIABILITY

A customer who engages in unauthorised distribution, piracy or other infringement may be responsible, to the extent permitted by applicable law, for losses, costs, damages or other consequences arising from such conduct.

Nothing in this Policy shall be interpreted as limiting any statutory rights or remedies available to Wiselayne or Silvasiyaa Private Limited under applicable law.

• LEGAL REMEDIES

Wiselayne reserves all rights and remedies available under applicable law in respect of infringement, piracy, unauthorised distribution, misappropriation or other unlawful use of its Protected Content.

Depending upon the circumstances, Wiselayne may pursue appropriate civil, contractual, technological or other remedies available under applicable law.

The Company may also cooperate with competent authorities or relevant platforms where legally appropriate.

• THIRD PARTY CONTENT AND RIGHTS

Certain materials available through Wiselayne may incorporate or refer to content owned by third parties.

Such content shall remain subject to the rights of the relevant third party owner.

Customers shall not assume that material available through the Platform is free from intellectual property restrictions merely because it is accessible through Wiselayne.

• NO WAIVER OF INTELLECTUAL PROPERTY RIGHTS

Any failure or delay by Wiselayne in taking action against a particular instance of piracy or unauthorised distribution shall not constitute a waiver of its rights.

Wiselayne may enforce its rights in relation to subsequent or continuing instances of infringement.

• RELATIONSHIP WITH INTELLECTUAL PROPERTY POLICY

This Policy supplements and forms part of Wiselayne's Intellectual Property & Content Usage Policy.

The Intellectual Property & Content Usage Policy establishes the broader framework concerning ownership, licensing and permitted use of Wiselayne's intellectual property.

This Policy specifically addresses piracy, unauthorised copying, unauthorised distribution and related misuse of Protected Content.

Where there is any inconsistency, the provision providing the greater protection to Wiselayne's intellectual property shall apply to the maximum extent permitted by applicable law, unless a mandatory legal requirement provides otherwise.

•RELATIONSHIP WITH TERMS & CONDITIONS

This Policy forms part of the contractual framework governing the customer's use of Wiselayne's Platform and Products.

Any breach of this Policy may also constitute a breach of the Wiselayne Terms & Conditions and may result in the consequences provided therein.

• POLICY UPDATES

Wiselayne may amend, update or modify this Policy from time to time to reflect:

• changes in its Products;
• changes in technology;
• changes in its business practices;
• changes in applicable law; or
• other legitimate operational or legal requirements.

The updated Policy shall be published on the Platform.

The version applicable to the relevant conduct shall ordinarily be the version in effect at the relevant time, subject to applicable law.

• NO LIMITATION OF STATUTORY RIGHTS

Nothing in this Policy is intended to exclude, restrict, waive or diminish any right, remedy, protection or liability that cannot lawfully be excluded, restricted, waived or limited.

All rights and remedies available to Wiselayne and Silvasiyaa Private Limited under applicable law are expressly reserved.
